If you are accepting these terms on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree to these terms, do not use the Service.

2. Service Description

Elevana is an institutional investment management platform that provides tools for:

• Deal pipeline management across multiple asset classes
• Portfolio construction, monitoring, and performance reporting
• Risk analytics and compliance tracking
• Trading order management and execution tracking
• Fund administration and investor reporting
• Regulatory and internal compliance workflows

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration and Eligibility

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your credentials secure and not share them with unauthorized parties
• Notify us immediately of any unauthorized use of your account

Elevana is not a registered investment adviser, broker-dealer, or financial planner. The Service is a software tool designed to assist investment professionals in managing their operations. Nothing in the Service constitutes investment advice, a solicitation to buy or sell securities, or a recommendation regarding any investment strategy. All investment decisions are made solely by you and your organization.

We do not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities. Financial data and analytics provided through the Service are for informational purposes only and may not be accurate, complete, or up-to-date.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, [ELEVANA TECHNOLOGIES] SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US DURING THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

9. Indemnification

Sections 5 (Data Handling), 6 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), and 11 (Governing Law) survive termination.

11. Governing Law and Disputes
